1. Acceptance of Terms

2. Definitions

• "Digital Products" refers to WordPress themes, plugins, PHP scripts, software, templates, source code, and any downloadable digital files.
• "Services" refers to website development, WordPress customization, PHP/MySQL development, TripAdvisor profiles, Google Business Profiles, and consultation.
• "Website" refers to Lemonox.net and all associated subdomains.
• "Client," "You," "Your" refers to the individual or entity using our services.

3. Digital Products License

When you purchase a digital product from Lemonox.net, you receive a non-exclusive, non-transferable license to use the product under the following conditions:

• Permitted: Use on a single website/app (unless a multi-site license is purchased)
• Permitted: Modify the code for your own use
• Prohibited: Redistribute, resell, or sublicense the product
• Prohibited: Remove copyright notices or proprietary markings
• Prohibited: Use the product for illegal activities

4. Custom Development Services

4.1 Project Scope

The scope of any custom development project will be defined in a separate project agreement or statement of work. Any changes or additions outside the original scope may incur additional fees.

4.2 Payment Terms

• 50% deposit required before work begins
• 50% final payment upon project completion and before final delivery
• Invoices are due within 7 days of receipt
• Late payments accrue 10% monthly interest

4.3 Delivery Timeline

Estimated delivery timelines are provided as estimates. While we strive to meet all deadlines, we are not liable for delays caused by:

• Client unresponsiveness or delayed feedback
• Technical issues beyond our control
• Changes in project scope requested by client

4.4 Ownership and Intellectual Property

• Upon full payment, the client owns the custom-developed code
• We retain the right to use non-proprietary code in future projects
• Any third-party assets (images, fonts, plugins) remain under their respective licenses
• We reserve the right to include the project in our portfolio unless explicitly requested otherwise

5. Client Responsibilities

As our client, you agree to:

• Provide accurate and complete information about your requirements
• Respond to inquiries and provide feedback within 3 business days
• Provide access to hosting, domain, or other necessary accounts
• Maintain backups of your website/application
• Not misuse our products or services
• Comply with all applicable laws and regulations

6. Limitation of Liability

To the maximum extent permitted by law, Lemonox.net and its owner (Windya W.) shall not be liable for:

• Any direct, indirect, incidental, or consequential damages
• Loss of data, profits, or business opportunities
• Security breaches or unauthorized access to client systems
• Downtime or technical issues with third-party services

Our total liability shall not exceed the total amount paid by you for the product or service in question.

7. Warranties and Disclaimers

Digital Products: Our digital products are provided "as is" without warranties of any kind. We do not guarantee that products will be error-free or compatible with all systems.

Custom Development: We warrant that custom-developed code will substantially conform to the agreed specifications. We provide 30 days of free bug fixes after final delivery.

Third-Party Services: We are not responsible for the performance, reliability, or security of third-party services (hosting providers, payment gateways, etc.).

8. Indemnification

You agree to indemnify, defend, and hold harmless Lemonox.net and Windya W. from any claims, damages, losses, or expenses arising from:

• Your use of our products or services
• Your violation of these Terms & Conditions
• Your violation of any third-party rights
• Any content you provide to us

9. Termination

We reserve the right to terminate or suspend access to our website, products, or services immediately, without prior notice, for any violation of these Terms & Conditions. Upon termination:

• Your right to use the products/services ceases immediately
• No refunds will be issued for terminated accounts
• You must delete all copies of our digital products in your possession

10. Intellectual Property Rights

All content on the Lemonox.net website, including text, graphics, logos, images, and software, is the property of Lemonox.net and protected by Sri Lankan and international copyright laws. You may not:

• Copy, modify, or reproduce our website content without permission
• Scrape or data-mine our website
• Use our trademarks or branding without written consent

11. Payment and Fees

All prices displayed on Lemonox.net are in United States Dollars (USD) unless otherwise specified. We reserve the right to change prices at any time. Applicable taxes (VAT, GST, etc.) are the responsibility of the client.

• Payments are processed through secure third-party gateways (Stripe, PayPal)
• We do not store your credit card information directly
• Currency conversion fees are the client's responsibility
• Failed transactions may be subject to additional fees

12. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of business. This does not include information that is publicly available or independently developed.

13. Force Majeure

We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, internet outages, government actions, or cyber attacks.

14. Governing Law and Dispute Resolution

These Terms & Conditions are governed by the laws of Sri Lanka. Any disputes arising from these terms or our services shall be resolved through:

1. Friendly negotiation between parties
2. Mediation in Colombo, Sri Lanka
3. Binding arbitration as per Sri Lankan arbitration laws

15. Changes to Terms & Conditions

We may modify these Terms & Conditions at any time. Changes become effective immediately upon posting to our website. Your continued use of our services after changes constitutes acceptance of the modified terms.

16. Severability

If any provision of these Terms & Conditions is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

These Terms & Conditions, together with our Return Policy and Privacy Policy, constitute the entire agreement between you and Lemonox.net regarding your use of our website, products, and services.
